This Internship Understanding of Agreement (Agreement) is effective as of the date entered above by and between Money Mouth Marketing, whose address is 2250 Oak Rd, Suite 501, Atlanta, GA 30078, individually or collectively, and on behalf of any/all/other affiliated companies, or approved agents and official representatives of the above organizations (hereinafter the "Company"); and candidate listed below

This Agreement outlines the relationship and mutually agreed upon agreement between the Parties to this Agreement (Company and Intern) and the Internship set forth. Wherein, Intern desires to accept an unpaid internship with Company and Company desires to provide Intern with a learning experience and potential employment opportunity.

Section 2 - Intern's Obligations and Acknowledgements
2a. While performing the Internship, the Intern agrees and acknowledges the Intern's obligation to:

i. Perform all work allocated to the Intern to the best of the Intern's ability;
ii. Exercise all due care and skill;
iii. Comply with all lawful and reasonable directions and instructions given to the Intern by officers or employees of the Company during the course of the Internship;
iv. Comply with any and all Company policies and procedures that apply, or may apply, to the Intern during the course of the Internship;
v. At all times comply with any and all legislation, codes or guidelines, in whatever form, that are applicable to the Intern; and
vi. Undergo any and all training that the Company deems necessary to enable the Intern to safely and efficiently perform the Intern's duties during the Internship.

2b. Confidentiality/Non-Disclosure

Proprietary Information. Intern recognizes that his/her relationship with Company creates a relationship of confidence and trust between himself/herself and Company with respect to any information that is:
i. applicable to the business of Company; or
ii. applicable to the business of any client or customer of Company, which may be made known to him by Company or any client or customer of Company, or learned by him in such context during the period of his/her relationship with Company.

Intern further recognizes that all such information has commercial value in the business in which Company is engaged and is hereinafter called “Proprietary Information.” By way of illustration, but not limitation, Proprietary Information includes any and all technical and non-technical information including patent, copyright, trade secret, and proprietary information, techniques, sketches, drawings, models, inventions, know-how, processes, apparatus, equipment, algorithms, software programs, software source documents, and formulae related to the current, future, and proposed products and services of Company, and includes, without limitation, its respective information concerning research, experimental work, development, design details and specifications, engineering, financial information, procurement requirements, purchasing, manufacturing, customer lists, business forecasts, sales, merchandising, and marketing plans and information. “Proprietary Information” also includes proprietary or confidential information of any third party.

Nondisclosure of Proprietary Information. All Proprietary Information is the sole property of Company, its assigns, and its customers, and Company, its assigns, and its customers shall be the sole owner of all patents, copyrights, mask works, trade secrets, and other rights in connection therewith. Intern hereby assigns to Company any rights he may have or acquire in such Proprietary Information. At all times, both during and after Intern’s relationship with Company, Intern agrees to keep in confidence and trust all Proprietary Information and not to use or disclose any Proprietary Information or anything directly relating to it without the written consent of Company, except as may be necessary in the ordinary course of performing his duties as an Intern of Company.

Notwithstanding the foregoing, it is understood that, at all such times, Intern is free to use information which is generally known in the trade or industry, not as a result of a breach of this Agreement, and his/her own skill, knowledge, know-how, and experience to whatever extent and in what way he wishes. 2c. Intellectual Property

Proprietary Rights: The term “Proprietary Rights” shall mean all trade secret, patent, copyright, and other intellectual property rights throughout the world.

Inventions. The term “Inventions” shall mean all trade secrets, inventions, ideas, enhancements, creations, processes, formulas, source and object codes, data, programs, other works of authorship, know-how, improvements, discoveries, developments, designs, intellectual property, and techniques.

Assignment of Inventions. Subject to the provisions of this Agreement, Intern hereby assign and agree to assign in the future (when any such Inventions or Proprietary Rights are first reduced to practice or first fixed in a tangible medium, as applicable) to Company all my right, title and interest in and to any and all Inventions or intellectual property developed by Intern during the course of the internship (and all Proprietary Rights with respect thereto). Intern will, at Company’s request, promptly execute a written assignment to Company of any such Invention, and Intern will preserve any such Invention as part of the Confidential Information of Company (the “Company Inventions”).

2d. The Intern understands that this is an UNPAID internship and is not entitled to wages or compensation of any form from Company. Further, Intern understands that he/she is not entitled to any other benefits of employment, including, but not limited to, health insurance or paid time off.

Section 3 - Term
(a) The Internship will commence on the date of submitting this agreement and will continue for 240 HOURS unless otherwise agreed upon in writing.

(b) Within the term intern will complete 240 (Two Hundred Forty Hours).

(c) The Internship may not be extended beyond the Cessation Date except by further agreement in writing executed by the Parties.

(d) The Internship may be terminated prior to the Cessation Date in accordance with clause 4 of this Agreement.

(e) Intern may be hired prior to cessation date. At which time internship will be terminated.

(f) Intern agrees to provide a MINIMUM of 5 BUSINESS DAY notice if interns choose to terminate internship before cessation date.

Section 4 - IMPORTANT CONSIDERATION
This is one of the most important sections of this agreement so please read it TWICE and understand it thoroughly.

In the past, other businesses have referred to internships as "free labor". We absolutely, positively do not condone that sentiment. We personally find it offensive and insulting to YOU to look at your time as free labor.

In the past, that was called slavery.

As such, we will not treat you like an intern, we will treat you like an employee. We respect and honor the time, effort and energy that you put into this position and will NEVER waste it by assigning you meaningless, worthless tasks that don't grow you as an individual.

In EXCHANGE we ask the following of YOU:
- Treat this as you would a job.
- Show up on time - EVERYONE'S time is valuable, so we expect you to be where you say you're going to be by when you say you're going to be there.
- Give 100% - We have one of the best training platforms for internships/apprenticeships in the country. We're very proud of that. Plus, we have dedicated supervisors/managers who are excellent trainers and will make sure you learn exactly what you need to know to be successful. You will become an invaluable asset to the marketplace once you complete this program. We ask that you take this position seriously and commit to giving 100% during the time of your internship.
  
  You will be evaluated on your individual effort in consideration for employment.
- COMMUNICATE - Because this position is 100% remote, we cannot SEE you. Unlike an office environment, we can not see that you have not come in or are running late, etc. As such we ask that you stay in communication with us regarding your schedule, your status with us or if anything changes, etc.
- Be honest - Please be honest about your situation, no matter what it is. We are a very flexible and understanding organization and can accommodate most situations, but we can only do so to the degree that you are honest about your situation.
  
  EXAMPLES: If you are starting a new job, ending a job, moving, getting married, getting divorced, having a baby, etc. By law, you are NOT REQUIRED TO DISCLOSE THIS INFORMATION, but PLEASE consider letting us know what's going on with you, so we can work with you....again we can only accommodate to the degree that we understand your situation.
  
  Also, be honest with YOURSELF. Most people know that they are unorganized, wishy-washy, noncommittal, etc. If you know this about yourself, please save us both the time and do not take on this position. Additionally, if you are already committed to 60+ hours of work, school, family, etc...don't try to "squeeze" this internship into an already hectic life. Again, you'll just be wasting everyones time.

Section 5 Termination of Internship
The Intern accepts that the internship may be terminated at any time prior to the Cessation Date, for any reason, at the Company’s sole discretion.

Intern understands that after termination intern shall not download, copy, share, delete, modify, or access in any way assets of the Company; including, but not limited to training, documents, accounts, resources, tools, etc. Any attempts to access any Company assets are logged by IP address and other tracking methods and may result in prosecution by law.

Section 6 - Jurisdiction
This Agreement shall be governed by, construed and enforced in accordance with the laws of Georgia. Company and Intern recognize and accept that Georgia shall have jurisdiction and venue for any disputes under this Agreement.

Section 7 - Intellectual Property Ownership
The Intern hereby assigns to the Company all rights, including, without limitation, copyrights, patents, trade secret rights, and other intellectual property rights associated with any ideas, concepts, techniques, inventions, processes, works of authorship, Confidential Information or trade secrets (i) developed or created by the Intern, solely or jointly with others, during the course of performing work for or on behalf of the Company or any affiliate of the Company, or the predecessors of any such entities, whether as an Intern or independent contractor, (ii) that the Intern conceives, develops, discovers or makes in whole or in part during the Intern’s employment by the Company that relate to the business of the Company or any affiliate of the Company or the actual or demonstrably anticipated research or development of the Company or any affiliate of the Company, (iii) that the Intern conceives, develops, discovers or makes in whole or in part during or after the Intern’s employment by the Company that are made through the use of any of the equipment, facilities, supplies, trade secrets or time of the Company or any affiliate of the Company, or that result from any work the Intern performs for the Company or any affiliate of the Company, or (iv) developed or created by the Intern, solely or jointly with others, at any time before the Employment Period, that relate to or involve the Company’s businesses (including, but not limited to, the business of the Company Group) (collectively, the “Work Product”). Without limiting the foregoing, to the extent possible, all software, compilations and other original works of authorship included in the Work Product will be considered a “work made for hire” as that term is defined in Title 17 of the United States Code. If, notwithstanding the foregoing, the Intern for any reason retains any right, title or interest in or relating to any Work Product, the Intern agrees promptly to assign, in writing and without any requirement of further consideration, all such right, title, and interest to the Company. Upon request of the Company at any time during or after the Employment Period, the Intern will take such further actions, including execution and delivery of instruments of conveyance, as may be appropriate to evidence, perfect, record or otherwise give full and proper effect to any assignments of rights under or pursuant to this Agreement. The Intern will promptly disclose to the Company any such Work Product in writing.

Section 8 - Miscellaneous
If any portion of this Agreement shall be held invalid, such invalidity shall not affect the other provisions hereof, and to this extent, the provisions of this Agreement are to be and shall be deemed severable. If any party hereto incurs any legal fees, whether or not action is instituted, to enforce the terms of this Agreement or to recover damages or injunctive relief for breach of this Agreement, it is agreed that the successful or prevailing parties shall be entitled to reasonable attorney fees and other costs in addition to any other relief to which it or they may be entitled.

This Agreement constitutes the entire understanding between all the parties and supersedes all previous understandings, agreements, communications and representations, whether written or oral, concerning the discussions by and between the Parties hereto.

This Agreement may not be amended in any respect whatsoever except by a further agreement, in writing, executed by each of the Parties.

You agree that you will not disparage or encourage others to disparage the company. For purposes of this agreement, the term disparage includes without limitation comments or statements made in any matter or medium in the press and/or the media about the company which would adversely affect any manner of the conduct of the business of the company, without limitations to the company's business plans or prospects or the business reputation of the company.

You agree not to disparage or denigrate the company orally or in writing, and that neither you nor anyone acting on your behalf will publish, post, or otherwise release any material in written or electronic format, make speeches, gain interviews, or make public statements that mentioned the company, its operations, clients, employees, products, or services without the prior written consent of the company.

If either Party should waive any breach of any provision of this Agreement, such Party shall not thereby be deemed to have waived any preceding or succeeding breach(es) of the same provision, or have thereby waived any other provisions hereof.
